These Terms & Condition (“Terms & Condition”) apply to the online reservation management, financial applications, mobile applications, services, and products branded under LOGISTIFIE LTD (“LOGISTIFIE LTD,” “we,” “us,” or “our”) and other LOGISTIFIE branded or customized versions of our web site, online reservation management, financial applications, mobile applications, services, and products, for example by subscription or by means of a LOGISTIFIE LTD-branded web site (collectively referred to as the “Services”). The Services’ features and capabilities may vary depending on the version or level of the Services provided with these Terms & Condition. As used in the Terms & Condition, the terms “you”, “your” or “user” all refer to the person using the Services in any terms.
Please note that by clicking on the “ACCEPT/GET STARTED/REQUEST DEMO/APPLY/CONTACT US/SEND AND SUBMIT” icon and using the Website, it will be deemed that You have read and understood the Terms & Condition and that You agree to accept and abide by such Terms & Condition.
The Company may, without prior notification, modify the Terms & Condition at any time and at Our sole discretion, including augmenting or enhancing the Products, releasing new tools, or imposing additional charges for access to or use of the Product. These Terms & Condition are a legal agreement between you and LOGISTIFIE. Use of any functionality of the LOGISTIFIE Services (whether paid or during a free trial period) constitutes acceptance of these Terms & Condition. If you do not agree to be bound by these Terms & Condition, you may not use the Services, including the LOGISTIFIE (www.logistifie.com), in any terms.
The Services are not available to persons under the age of 18 or the age of legal majority in your jurisdiction if different from 18, or to any users suspended or removed from accessing the Services by LOGISTIFIE for any reason. Additionally, you are prohibited from selling, trading, or otherwise transferring your LOGISTIFIE account to another party without our express written permission. If you do not qualify, you may not use the LOGISTIFIE Services. These Terms & Condition supplement all applicable agreements and terms and conditions between you and LOGISTIFIE.
1. Registration and Account application
The Products shall be available to the Subscribers through a registration process, whereby You will be required to furnish certain information and details including, first name, last name, email address, business name, business address, operating center, the average number of controller/dispatcher, the average number of fleet and an average number of bookings you cover per month. These details will be used to configure the product for the best use.
1.2 Verification process – Once the registration process is done by a subscriber, we may accept or reject your account application depending on whether our product meets your requirement based on the information collected while the account application process. In both conditions (accept or reject) you will be informed by email notification.
1.3 Credentials – Once the account application gets accepted, an email will be sent to you with subscriber ID, username, and password for the product, which you can use to login to the product through http://logistifie.com by clicking on the Login button.
1.4 First time Login – During the first login, you will be asked to complete a set of the application form including your business details, email address (for notification purpose), phone number (for testing purpose), and an account application form to assign all your non-accounts bookings.
You are responsible for maintaining the confidentiality of Your password and account and are fully responsible for all activities that occur under Your Account. You agree to immediately notify the Website of any unauthorized use of Your password or Account or any other breach of security and ensure that You exit from Your Account at the end of each session. The Website shall not be liable for any loss or damage arising from Your failure to comply with the maintenance of Your Account or password. You may be held liable for losses incurred by the Company due to authorized or unauthorized use of Your Account Information or password as a result of Your failure in keeping Your Account Information secure and confidential.
2.Payment
We may allow you to purchase Services using your credit card and/or debit card (together with “Card Services”). We may use a third-party payment processor (the “Payment Processor”) to link your credit card account and/or debit card account to the Service (your “Card Account”) for use of the Card Services. The processing of payments or credits, as applicable, in connection with the Card Services will be subject to the terms, conditions, and privacy policies of the Payment Processor and your credit card issuer and/or debit card issuer in addition to these Terms & Condition. We are not responsible for any error that occurs during any payment process, including any error by the Payment Processor. In connection with your use of the Card Services, we will obtain certain transaction details, which we will use solely in accordance with our Privacy Policy.
2.1 The payment terms could be monthly, yearly, or weekly depending on your contract with Logistifie, you agree to make the payment by means of either any cards or account transfer or direct debit for the agreed amount in agreed payment terms. Failure to the payment, we may send you a reminder or cancel your subscription to the products. 2.3 You will have sole responsibility for the accuracy and quality of all data you submit to the website and for ensuring that your collection and use of your data complies with applicable laws, including those related to data privacy and transmission of personal data. You are solely responsible for any liability resulting from your handling of cardholder data. You agree that you will comply with PCI DSS anytime the Services are used to process credit cards
3. Fees
You agree to pay the then-current non-refundable fees associated with the level of Services you choose. Additional fees may apply for any optional add-on features to the Services.
3.1 Unless otherwise expressly provided in a separate agreement with us. When you subscribe and provide payment information using the Card Services your Card Account will be debited and will automatically be debited monthly or annually depending upon the payment option you choose at the then-current rate to maintain the service unless you notify us by electronic mail to support@logistifie.com to cancel the Services thirty (30) days prior to the beginning of the next renewal period.
3.2 If you believe a payment has been processed in error, you must provide written notice to us within thirty (30) days after the date of payment specifying the nature of the error and the amount in dispute.
3.3 You are responsible for paying all Taxes related to this Agreement. We will be solely responsible for taxes assessed on Logistifie based on its income.
4. Permitted Uses and Restrictions on Use
Subject to these terms and conditions of the Terms & Condition, Logistifie will provide the Services that allow you to manage your online reservations, financial applications, mobile applications, services and products, customer account, and financial data on the Internet. In order to use the Services, you must at your own expense obtain access to the Internet, either directly or through devices that access web-based content. In addition, you must provide all equipment necessary to make such a connection to the Internet, including a computer and modem, smartphone, or other access devices.
5. Content
By submitting information, data, text (including but not limited to names of files, databases, directories, and groups of the same), software, music, sound, photographs, graphics, video, messages, or other materials (“Content”) to Logistifie in connection with this Services, you warrant that:
By submitting any Content, you are granting Logistifie a perpetual, royalty-free, and irrevocable right and license to use, reproduce, modify, adapt, publish, translate, distribute, transmit, publicly display, publicly perform, sublicense, create derivative works from, transfer and sell your Content.
You understand that all Content, whether publicly posted or privately transmitted, is the sole responsibility of the person from which such Content originated.
This means that you, and not Logistifie, are entirely responsible for all Content that you upload or otherwise transmit via the Services. We do not control the Content uploaded or otherwise transmitted by you or other customers via the Services and, as such, does not guarantee the accuracy, integrity, or quality of such Content.
6.Access, Passwords, and Security
You will be responsible for the confidentiality and use of your access. You will be responsible for all electronic communications, including account registration and other account holder information, email and financial, accounting and other data including any Content (“Electronic Communications”) entered through or under your access.
Logistifie will act as though any Electronic Communications it receives under your access will have been sent by you. You agree immediately to notify us if you become aware of any loss or theft or unauthorized use of any of your access.
7. Storage and Service Access
You agree that Logistifie has no responsibility or liability for the deletion or failure to store any messages and other communications or other Content maintained or transmitted by the Services. As a condition of use for this Services, you agree that, in the event of an error with your
Services, a Services technician shall be permitted to access your Content as necessary to resolve the problem. You acknowledge that we reserve the right to change these general practices and limits at any time, in its sole discretion, with or without notice.
8. Termination
The Terms & Condition will continue to apply until terminated by either You or the Company as set forth below.

The rights and remedies available under this term of service may be exercised as often as necessary and are cumulative and not exclusive of rights or remedies provided by law. 10.Intellectual Property Rights
You acknowledge that the Logistifie owns all right, title, and interest in and to the Products, including without limitation all intellectual property rights with respect to the applications and Website associated with the Products (“Company Proprietary Rights”). Further, it is hereby clarified that You shall not be provided any access to the source code of the Product, and accordingly, You will not be permitted to copy, reproduce, alter, modify, or create derivative works of the Product. You also agree that You will not use any robot, spider, or other automated devices to monitor or copy any content from the Product.
11.General
11.1 Unless otherwise expressly agreed in writing, the Terms & Condition constitutes the entire agreement between you and Logistifie and governs your use of the Services, superseding any prior agreements between you and Logistifie (including, but not limited to, any prior versions of the Terms & Condition ) with respect to its subject matter.
11.2 Posting of offensive language about the company and its products is discouraged. Any such occurrences will be considered as defamatory and will be subjected to legal action.
